Trident Pool Club

Important: The Trident Pool Club is a loyalty and discount program. It is not a service contract, warranty, or insurance product. All pool maintenance, repair, and equipment services are provided under separate service agreements at the Member's request and expense.

Auto-Renewal Notice: Your membership will automatically renew each year unless you cancel. You will receive a renewal notice by email at least 45 days before your renewal date. See Section 5 for full details.

1. Program Overview

The Trident Pool Club (the "Program") is a loyalty and discount program offered by Trident Aquatic Services, LLC ("Trident," "we," "us," or "our"), a Tennessee limited liability company. The Program provides eligible clients with benefits including reduced equipment pricing, priority scheduling, courtesy equipment inspections, and other advantages described in these Terms and Conditions (the "Membership Terms").

By enrolling in the Program, you ("Member" or "you") agree to be bound by these Membership Terms. If you are enrolling on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Membership Terms.

These Membership Terms are incorporated by reference into the Trident Aquatic Services Terms of Service. In the event of any conflict between these Membership Terms and the general Terms of Service with respect to membership-related matters, these Membership Terms shall control.

2. Eligibility and Enrollment

2.1 Eligibility Requirements

The Trident Pool Club is available exclusively to active Trident service clients. Membership is gated behind an active service relationship with Trident. You must meet the following requirements to enroll and maintain membership:

  • Pool Club tier: You must be an active Trident service client with a current service agreement for any service level.
  • Pool Club Pro tier: You must hold an active annual maintenance contract with Trident with a minimum annual service spend of $2,000 or more.

Trident reserves the right to verify eligibility at the time of enrollment and at any time during the membership term. If you cease to be an active service client (for example, if your service agreement is terminated or expires), your membership may be suspended or terminated in accordance with Section 5.

2.2 Enrollment

Enrollment may be completed online at tridentaquaticservices.com, by phone at (615) 747-POOL, or in person with a Trident representative. At the time of enrollment, you will be required to:

  • Provide accurate and complete personal or business information.
  • Select a membership tier (Pool Club or Pool Club Pro).
  • Provide a valid payment method for the annual membership fee.
  • Review and agree to these Membership Terms, including the auto-renewal provisions described in Section 5.

Enrollment is not complete until Trident has processed your payment and sent you a written confirmation (by email or other electronic means) that includes your membership tier, benefits summary, renewal date, auto-renewal terms, cancellation policy, and instructions for how to cancel.

3. Membership Tiers and Benefits

The Program currently offers two membership tiers. The following table summarizes the benefits available at each tier. Detailed terms and limitations for each benefit are described in Sections 4, 9, and 10.

Equipment pricing discounts are calculated as the difference between Trident's standard non-member markup and the reduced member markup applied to wholesale equipment cost. Specific markup rates are available upon request and may vary by equipment type and manufacturer.

4. Discount Caps and Limitations

4.1 Annual Discount Caps

Each membership tier is subject to annual caps on the total savings a Member may receive through membership discounts. These caps reset on each membership anniversary date. The current caps are:

Discount caps apply per pool, per membership year and reset on each membership anniversary date. For members with a single pool, the per-pool cap is the total annual cap. For portfolio or business members with multiple pools under a single membership, each pool is subject to its own independent cap. Once a cap is reached for a specific pool in a given membership year, subsequent purchases for that pool will be billed at Trident's standard non-member rates for the remainder of that membership year. Caps are not transferable between pools, between discount types (for example, unused equipment discount cap cannot be applied to labor discounts), and unused cap amounts do not roll over to subsequent membership years.

4.2 Discount Application

Membership discounts apply only to services and equipment purchased directly from Trident Aquatic Services under an active service agreement. Discounts do not apply to: third-party services or products not sold by Trident; emergency service callout fees or after-hours surcharges; chemical supplies or consumables included in regular maintenance service; work performed by subcontractors unless Trident is the contracting party; equipment or parts covered under a manufacturer factory warranty (warranty labor charges may still be eligible for member labor discounts where applicable); or services provided before the membership effective date or after membership termination.

Trident will track your discount usage and notify you when you are approaching or have reached a cap. You may request a summary of your discount usage at any time by contacting us.

5. Term, Auto-Renewal, and Cancellation

5.1 Membership Term

Each membership has an initial term of one (1) year beginning on the date your enrollment is confirmed and payment is processed (the "Enrollment Date"). Your membership anniversary date is the annual recurrence of your Enrollment Date.

5.2 Automatic Renewal

Auto-Renewal Disclosure: Your membership will automatically renew for successive one-year terms at the then-current annual membership fee unless you cancel before your renewal date. By enrolling in the Program and agreeing to these Membership Terms, you are providing your affirmative consent to automatic renewal.

At least 45 days before your renewal date, Trident will send you a renewal notice by email to the address on file for your account. This renewal notice will include: your current membership tier; the renewal fee amount; the renewal date; a summary of any changes to benefits, discount caps, or pricing effective upon renewal; and instructions for how to cancel if you do not wish to renew.

If you do not cancel before your renewal date, your membership will automatically renew, and the annual membership fee for the upcoming term will be charged to the payment method on file.

5.3 How to Cancel

You may cancel your membership at any time using any of the following methods:

To prevent auto-renewal, your cancellation must be received before your renewal date. Upon cancellation, your membership benefits will remain active through the end of the current paid membership term. No prorated refund will be issued for the remaining portion of the current term (except as described in Section 6).

5.4 Termination by Trident

Trident may terminate your membership if: you no longer meet the eligibility requirements in Section 2; your service agreement with Trident is terminated or expires and is not renewed within 30 days; your membership fee payment is declined and not resolved within 15 days of notice; or you engage in conduct that, in Trident's reasonable judgment, constitutes abuse of Program benefits or violates these Membership Terms.

If Trident terminates your membership for a reason other than your breach of these terms, you will receive a prorated refund of any prepaid membership fee for the remaining portion of the current term.

5.5 Effect of Service Agreement Termination

Because Program eligibility requires an active Trident service relationship, termination or expiration of your underlying service agreement will result in suspension of your membership benefits. If you reestablish a qualifying service relationship within 30 days, your membership will be reinstated without interruption. After 30 days, your membership will be terminated, and any refund will be governed by Section 6.

6. Refund Policy

6.1 Refund Within 30 Days of Enrollment

If you cancel your membership within 30 days of your initial Enrollment Date, you will receive a full refund of your membership fee, no questions asked. This 30-day refund period applies only to the initial enrollment, not to renewal terms.

6.2 After 30 Days

After the initial 30-day period, membership fees are non-refundable. If you cancel after the first 30 days, your membership benefits will continue through the end of your current paid term, and no prorated refund will be issued.

6.3 Early Cancellation Clawback

If you cancel your membership within the first six (6) months of enrollment and the total value of discount benefits you have received exceeds your membership fee by more than $100, Trident reserves the right to invoice you for the difference between the standard (non-member) pricing and the discounted (member) pricing for all services and equipment purchased during your membership period.

In practice, this provision rarely applies. It exists to prevent misuse of the Program by members who enroll, consume significant discount benefits on a large purchase, and immediately cancel. Any clawback invoice will include an itemized accounting of the discount benefits received and the amount due.

6.4 Refund Method

All refunds will be processed to the original payment method within 14 business days of the refund determination.

7. Changes to Program Benefits

7.1 Modifications at Renewal

Trident reserves the right to modify Program benefits, discount rates, discount cap amounts, membership fees, eligibility requirements, and other terms effective upon renewal of the membership term. Any material changes will be communicated to you in writing at least 45 days prior to your renewal date as part of the renewal notice described in Section 5.2.

Your decision to renew (or not renew) at the updated terms constitutes your acceptance or rejection of the changes. If you do not wish to accept modified terms, you may cancel before your renewal date and your membership will end at the conclusion of the current term under the original terms.

7.2 No Mid-Term Changes

Trident will not reduce or eliminate existing benefits for active members during their current membership term. The benefits, discount rates, and cap amounts in effect at the time of your enrollment (or most recent renewal) will remain in effect through the end of that term.

7.3 Addition of Benefits

Trident may add new benefits or increase existing benefits for active members at any time during their membership term without advance notice. Any added benefits will be communicated to Members by email.

8. Portfolio and Business Memberships

8.1 Business Enrollment

Businesses, property management companies, HOAs, and other entities may enroll in the Program. A single membership covers the entity's entire service relationship with Trident, regardless of the number of properties under contract.

8.2 Discount Cap Application for Business Members

For business members managing multiple properties, discount caps apply per pool, per membership year — not per membership. Each pool in the portfolio is subject to its own independent equipment discount cap and labor discount cap.

For example, a property management company with 12 pools under a single Pool Club Pro membership has a $150 equipment discount cap and a $100 labor discount cap on each of the 12 pools — providing up to $1,800 in total annual equipment discount headroom and $1,200 in total annual labor discount headroom across the portfolio.

Trident will track discount usage per pool. Business members may request a summary of discount usage by pool at any time.

8.3 Authorized Representatives

Business members must designate at least one authorized representative who may manage the membership, request services, and make decisions related to Program benefits. Changes to authorized representatives must be communicated to Trident in writing.

9. Courtesy Inspections

Each membership includes one complimentary inspection per pool per membership year. This inspection is provided as a courtesy benefit of membership. It is not a contractual service obligation, warranty inspection, or compliance certification.

The complimentary inspection includes a visual assessment of pool equipment (pumps, filters, heaters, automation systems, and related components) and a written summary of observations and recommendations. For Pool Club Pro members, the complimentary inspection includes a water chemistry report. Inspections are intended to identify potential maintenance issues and are informational in nature.

Additional inspections beyond the one complimentary inspection per pool are available at member rates and are scheduled and billed under the applicable service agreement.

Courtesy inspections do not constitute a guarantee that equipment is free from defects, will not fail, or meets any specific standard. Trident is not liable for equipment failures, property damage, or other losses arising from conditions not identified during a courtesy inspection. Any repairs or replacements recommended following an inspection are provided under separate service agreements at the Member's request and expense.

Trident will make reasonable efforts to schedule inspections during the membership year. If Trident is unable to complete a scheduled inspection due to circumstances within Trident's control, Trident will reschedule the inspection or provide a credit toward the next membership term.

10. Priority Scheduling and Emergency Response

10.1 Priority Scheduling

Members receive priority placement in Trident's scheduling queue for routine service, repairs, and equipment installation. During peak season (typically April through September in the Nashville market), priority scheduling means Members are scheduled ahead of non-member service requests of the same urgency level. Priority scheduling does not guarantee a specific appointment date or time.

10.2 Emergency Response

Pool Club members receive a 48-hour emergency response target during business hours. Pool Club Pro members receive a 24-hour emergency response target during business hours. These are response targets, not guaranteed response times. Trident will make commercially reasonable efforts to meet these targets, but response times may be affected by weather events, equipment availability, technician scheduling, and other factors beyond Trident's control.

Emergency response refers to the time within which a Trident representative will contact you to assess the situation and schedule service. It does not guarantee on-site arrival or repair completion within the stated timeframe. Emergency service callout fees and after-hours surcharges apply as set forth in your service agreement and are not discounted by the membership.

11. Relationship to Service Agreements

The Trident Pool Club membership is separate from and supplemental to any service agreement between you and Trident. The membership provides pricing benefits, scheduling priority, and courtesy inspections. All pool maintenance, repair, equipment installation, and other professional services are governed by the applicable service agreement between you and Trident.

Cancellation of the membership does not cancel your service agreement. Your service will continue under the terms of your service agreement at Trident's standard (non-member) rates.

Termination of your service agreement will result in suspension or termination of your membership as described in Section 5.5.

In the event of any conflict between these Membership Terms and the terms of your service agreement with respect to the scope, pricing, or delivery of services, the service agreement shall control.

12. Payment and Billing

The annual membership fee is due in full at the time of enrollment and at each renewal. Trident does not currently offer monthly payment plans for membership fees.

All fees are quoted and payable in U.S. dollars. Trident accepts payment by credit card, debit card, or ACH transfer. Payment is processed by a third-party payment processor, and Trident does not store your full credit card number. Please review our Privacy Policy for information on how payment data is handled.

If your payment method on file is declined at the time of renewal, Trident will attempt to contact you and re-process the payment. If payment is not successfully processed within 15 days of the renewal date, your membership may be suspended until payment is received or terminated at Trident's discretion.

Membership fees are exclusive of any applicable sales tax. If Tennessee or local tax authorities determine that sales tax applies to membership program fees, Trident will add the required tax to your membership fee and notify you of the change.

13. Disclaimers and Limitations

This membership is a loyalty discount program. It is not a service contract, warranty, or insurance product. The membership does not cover the cost of any repairs, replacements, or services. All services are provided under separate service agreements at the Member's request and expense.

Trident does not guarantee any specific outcome, result, or benefit from membership in the Program. Benefits are provided on an "as available" basis and may be subject to scheduling, inventory, and operational constraints.

Equipment pricing discounts are based on Trident's current wholesale costs and markup structure, which may change due to manufacturer pricing changes, supply chain conditions, or other market factors. Trident reserves the right to adjust its standard and member pricing to reflect changes in wholesale costs.

Any information provided through the Program, including during courtesy inspections, water chemistry reports, or seasonal care guides, is for general informational purposes only. This information does not constitute professional engineering advice, legal advice, or a certification of compliance with any federal, state, or local regulation. Property owners remain solely responsible for ensuring compliance with all applicable laws and regulations governing their pool facilities.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIDENT AQUATIC SERVICES, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE MEMBERSHIP TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

Trident's total aggregate liability to you for any and all claims arising out of or related to the Program or these Membership Terms shall not exceed the amount of the membership fee you paid for the current membership year.

This limitation of liability applies solely to the membership Program. Liability related to pool maintenance, repair, equipment installation, or other professional services is governed by the applicable service agreement between you and Trident, not by these Membership Terms.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

15. Privacy and Data

Trident collects and uses personal information in connection with the Program in accordance with our Privacy Policy. By enrolling in the Program, you consent to the collection and use of information as described in the Privacy Policy.

Information collected in connection with the Program may include your name, contact information, payment information (processed by a third-party payment processor), service history, equipment records, discount usage, and membership status. This information is used to administer the Program, process payments, deliver membership benefits, send renewal notices and Program communications, and improve our services.

Trident may send you email communications related to your membership, including enrollment confirmations, renewal notices, benefit summaries, and Program updates. These transactional communications are necessary for the administration of the Program and are not marketing emails. You may not opt out of transactional membership communications while your membership is active.

16. Governing Law and Dispute Resolution

These Membership Terms and any dispute or claim arising out of or related to these Terms or the Program shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

16.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact Trident at hello@tridentaquaticservices.com to attempt to resolve the dispute informally. Trident will make good-faith efforts to resolve any concern or dispute within thirty (30) days of receipt of your written notice.

16.2 Jurisdiction and Venue

If informal resolution is unsuccessful, any legal action or proceeding arising out of or related to these Membership Terms or the Program shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee. You consent to the personal jurisdiction and venue of such courts and waive any objection to the convenience of such forums.

16.3 Waiver of Class Action

To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. General Provisions

17.1 Entire Agreement

These Membership Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and Trident with respect to the Program. These Membership Terms supersede all prior oral or written communications, proposals, and representations with respect to the Program.

17.2 Severability

If any provision of these Membership Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

17.3 Assignment

You may not assign or transfer your membership or any rights under these Membership Terms to any third party without Trident's prior written consent. Trident may assign these Membership Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

17.4 Waiver

Trident's failure to enforce any right or provision of these Membership Terms shall not be considered a waiver of that right or provision. Any waiver will be effective only if in writing and signed by an authorized representative of Trident.

17.5 Force Majeure

Trident shall not be liable for any failure or delay in performing its obligations under the Program to the extent that such failure or delay results from circumstances beyond Trident's reasonable control, including natural disasters, severe weather, pandemics, government actions, supply chain disruptions, labor shortages, or utility failures.

17.6 Notices

All notices from Trident to you will be sent to the email address associated with your membership account. You are responsible for keeping your email address current. Notices are deemed received when sent to the email address on file, regardless of whether you actually receive or read the notice.

17.7 Headings

Section headings are for convenience only and do not affect the interpretation of these Membership Terms.
